一、圆桌会议的定义

    “圆桌会议”是体现参会领导者之间以平等原则和协商精神的会议形式。围圆桌而坐的仅限每个企业一位主要领导、特邀嘉宾、会议主席和秘书长。圆桌没有主席位置，席位不分上下尊卑，人人平等。“圆桌会议”的形式寓意为平等交流、意见开放。

    圆桌会议是中国水泥行业最高级别的企业领导人会议。会议由中国水泥协会核定的上年水泥产能前15家企业领导人出席，并特邀嘉宾若干人。

    圆桌会议的英文全称为：China Cement Industry Top Enterprises CEO Roundtable。对外简称仍然延续首届会议时的品牌设计：C12+3会议。

    二、圆桌会议的目的与内容

    “C12+3会议”作为中国水泥行业大型水泥企业领导人进行深度会谈、平等交流的一种组织形式，其目的是要分析形势、沟通信息、表达观点、寻求共识、研讨应对策略，选择或提出有利于水泥行业发展的切实可行的行动路线，以及对政府的政策建议。

    三、圆桌会议的决策程序

    参会领导具有平等的发言权、表决权和决策权。
会议不轻易按照少数服从多数的原则裁决，有异议而达不成共识内容可以搁置。原则上每次会议力争形成部分共识内容，以利于引领行业发展，但并非每一次会议都要做出决定。

    每次会议前，由会议主席和秘书长事前征求与会成员意见，提出会议主题，草拟会议共识意见草稿。共识意见草稿内容在会议上经修改确认后，将作为本次会议结果对外发布。所有参会领导应该在最终共识意见书上签字。

    中国水泥协会要根据会议决定，完善会后有关材料的补充和上报。

    四、圆桌会议的组织与承办

    会议由中国水泥协会发起和主办，也可根据需要，邀请有关领导机构联合主办。会议原则上每年召开一次，协会会长为每次会议主席，负责主持会议。会议秘书长由会议主席指定，负责会议组织、文件起草和对外宣传材料的核定。会议全称为：××××年中国水泥行业大型水泥企业领导人圆桌会议。

    会议采取参会企业轮流申办的方式，每次会议上选定下次会议的承办企业。由承办企业承担除参会者交通费以外的所有会议开支。

    会议时间和地点由中国水泥协会与承办单位协商决定。

    按照国际惯例，会议一般不邀请政府官员出席。

    参会领导可带随从1～2名列席会议。承办企业可安排若干领导列席会议。会议举办地所在省市自治区水泥协会领导列席会议。

    五、圆桌会议的报道和安全

    由于会议中的研讨、争议、形成共识意见的过程不便对外公布，为保护参会领导人的权益，会议实行封闭式管理，除中国水泥协会和承办单位工作人员以外，谢绝任何媒体的现场采访和非参会单位的出席。

    会议的报道和共识意见稿的对外宣传由中国水泥协会统一发布。

    为尊重参会领导的言论自由，所有参会领导和人员、包括会场内工作人员，必须对会议过程中的任何争议内容和言论，承诺不对外传播和负责保密义务。

    承办单位要负责会议期间的安全管理，向参会代表提交会议安全说明书。中国水泥协会有责任协助和检查承办单位会议期间的安全措施。

    六、其它

    本规则从下次会议举办时开始执行。

    主办和参会单位可对本规则提出完善修改意见，并提交会议通过。

    China Top Cement Enterprises CEO Roundtable Meeting Rules

    I.Definition

    Round-table meeting is a meeting for industry peers’ discussion and exchange of views. Participants sit around the roundtable, without appointing chairman seat. As there is no difference in seats setting, the principle of equality and spirit of consultation are highlighted. The meeting form aims at equal communication and open opinions.

    China Top Cement Enterprises CEO Roundtable Meeting is the meeting for China cement industry highest-level leaders of top 12 enterprises in cement capacity last year and 3 special guests. It is also referred as C12+3 meeting for short.

    II.Content and Goal

    Being the platform for China big cement enterprises’ leaders’ in-depth talks and equal communication, C12+3 meeting has set its goal as analyzing the situation, exchanging information, expressing ideas, seeking consensus and discussing countermeasure; choosing or proposing practical action path for cement industry development; and providing suggestions for government policy.

    III.Decision Program

    Conference participants have equal rights for speaking, voting and making decision at the conference. The roundtable meeting does not follow the majority rule generally, as the issues with dissents can be shelved. In principle, each roundtable devotes itself to achieving common view on some issues for guiding the industrial development. But not every roundtable meeting must make decisions.

    Before each meeting, meeting chairman and secretary general consult participants’ opinion, propose meeting theme, and draw up meeting consensus draft. The consensus draft are printed and handed to participants for their revision; and participants should sign the final consensus draft.

    According to the meeting results, CCA completes related material and reports to the government and public.

    IV.Organization 

    China Top Cement Enterprises CEO Roundtable Meeting is launched and hosted by CCA. It is held annually and the president of CCA is the meeting chairman.
Participant enterprises organize the meeting in turns. The organizer enterprise covers all the participants’ expenses during the meeting except the travelling expenses.

    CCA and organizer enterprise discuss and decide the meeting’s time and venue.

    According to international practice, roundtable meeting does not invite government officials generally.

    V.Report and Safety

    As the discussion and dispute at the meeting do not be publicized, the meeting is closed-end managed for the sake of participants’ interests. Spot interviews are prohibited except appointed CCA and organizer enterprise’s staff.

    CCA has the exclusive rights to publish reports and consensus draft of the meeting.

    Organizer enterprise is responsible for the meeting safety work and offering participants security instructions. CCA assists and checks the safety work.
